These Terms and Conditions ("Terms") govern your access to and use of the website and services operated by Spring Near East FZCO, a company registered in the Dubai Airport Free Zone (DAFZA), United Arab Emirates, with offices in the United Kingdom and the Republic of Turkey (collectively referred to as "Spring Near East", "we", "us", or "our"). By accessing our website or engaging our services, you ("Client" or "you") agree to be bound by these Terms.
1. Scope and Application
These Terms apply to all business-to-business ("B2B") clients, prospective clients, partners, and website visitors who engage with Spring Near East in a professional or commercial capacity. These Terms do not extend to individual consumers.
By submitting an inquiry, signing a service agreement, or using our website, you confirm that you have the authority to bind the entity you represent to these Terms.
2. Services
Spring Near East provides global sourcing, procurement management, and supply chain consultancy services. The specific scope of services, deliverables, timelines, and fees shall be defined in a separate Service Agreement or Statement of Work ("SOW") executed between the parties.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with reasonable notice to active clients.
3. Intellectual Property
All content on this website — including but not limited to text, graphics, logos, and data — is the intellectual property of Spring Near East or its licensors and is protected under applicable copyright and trademark laws across the UAE, UK, and Turkey.
You may not reproduce, distribute, or create derivative works from our content without prior written consent.
4. Client Obligations
You agree to:
- Provide accurate and complete information required for service delivery
- Notify us promptly of any changes that may affect our ability to deliver services
- Use our services in compliance with all applicable laws and regulations
- Not engage in any conduct that may harm the reputation or operations of Spring Near East
5. Confidentiality
Both parties agree to keep confidential any proprietary or commercially sensitive information shared during the course of the business relationship. This obligation survives the termination of any service agreement for a period of three (3) years, unless a separate non-disclosure agreement specifies otherwise.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Spring Near East shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services or website. Our total aggregate liability to any client shall not exceed the fees paid by that client in the twelve (12) months preceding the claim.
Nothing in these Terms limits liability for fraud, gross negligence, or any other liability that cannot be excluded by law.
7. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates (specifically the laws applicable in the Emirate of Dubai), without prejudice to any mandatory consumer or commercial protections applicable in the United Kingdom or Turkey in relation to services provided in those jurisdictions.
Any dispute arising from these Terms shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, disputes shall be referred to arbitration under the DIAC Arbitration Rules in Dubai, or to the competent courts of Dubai, at Spring Near East's election.
8. Amendments
We may update these Terms at any time. The revised version will be published on our website with an updated effective date. Continued use of our services following such publication constitutes acceptance of the revised Terms.
